Phinite Terms of Service
AI Agent Orchestration Platform for Enterprise
PLEASE READ THESE TERMS CAREFULLY BEFORE USING PHINITE.
These Terms of Service ("Terms") constitute a legally binding agreement between you and Fastr Tech Inc. d/b/a Phinite ("Phinite", "we", "us", or "our") governing your access to and use of the Phinite platform and related services (collectively, the "Services").
By creating an account, clicking "I Agree", accessing the beta program, or otherwise using the Services, you agree to be bound by these Terms.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.
If you do not agree to these Terms, do not access or use the Services.
1. Definitions
The following terms have the meanings below:

Phinite IP | Intellectual property owned or licensed by Phinite |
Third-Party Services | External services integrated with the platform |
2. Eligibility and Account Registration
2.1 Eligibility
To use the Services you must:
Be 18 years or older
Have legal capacity to enter a binding agreement
Not be prohibited by law from using the Services
Have authority to bind your organization if registering on its behalf
The Services are intended for business and professional use only.
2.2 Account Registration
When registering you agree to:
Provide accurate and complete information
Maintain credential confidentiality
Notify Phinite of unauthorized access
Contact for security incidents:
You are responsible for all activity under your account.
Workspace subdomains are unique and non-transferable.
2.3 Beta Program
Access to the Phinite Beta Program is subject to:
Vetting and review
Acceptance of beta terms
Platform availability
Beta services:
Provided "as-is"
May be modified or discontinued anytime
No SLAs or uptime guarantees
Feedback provided during beta may be used to improve the platform.
2.4 Organization Accounts
If registering for an organization:
The organization becomes the Customer
You must ensure Authorized Users follow these Terms
The organization is liable for violations by its users
3. Services, License, and Access
3.1 License Grant
Phinite grants a limited, non-exclusive, non-transferable, revocable license to use the Services for internal business purposes.
You may use the platform to:
Build agent workflows
Configure automations
Deploy AI agents
This license does NOT allow:
Reselling the Services
Creating derivative works
Reverse engineering
Building a competing product
3.2 Service Availability
Phinite will make commercially reasonable efforts to keep the platform available.
However:
No guarantee of uninterrupted service
Maintenance may occur periodically
SLA commitments depend on the subscription plan
Beta services do not include SLAs.
3.3 Modifications to Services
Phinite may:
Add features
Modify services
Remove features
If services are discontinued, 90 days notice will be provided where possible.
3.4 Free Trials and Beta Access
Free access may be offered temporarily.
After the trial:
A paid subscription is required
Phinite may modify free offerings at any time.
4. AI Agent Services
This section governs AI-powered features including:
Phinite Aura
Developer Studio
Agent Workflows
4.1 Nature of AI Services
You acknowledge that:
AI outputs may contain errors
AI systems are probabilistic
Outputs require human review
Phinite Aura does not provide legal, financial, or medical advice.
4.2 Responsibility for Agent Workflows
You are responsible for:
Designing workflows
Testing automations
Ensuring compliance with laws
Monitoring actions performed by agents
Ensuring required data permissions
Agent workflows can take real-world actions with real-world consequences.
You must test workflows using:
Dev
UAT
Production environments
Phinite is not liable for harmful actions caused by workflow configuration.
4.3 Platform Safeguards
Phinite provides infrastructure safeguards including:
Dev/UAT/Prod environment isolation
Execution limits
Autonomous agents: 10 iterations
Conversational agents: 50 iterations
Audit logs
API rate limiting
These safeguards do not replace your responsibility for workflow design.
4.4 Phinite Aura Copilot
Aura prompts may be processed by third-party LLM providers.
You should avoid entering highly confidential information unless you review provider policies.
Aura suggestions require human review.
4.5 No Training on Your Data
Phinite does not use Customer Data to train AI models.
This includes:
Prompts
Workflow configurations
Agent outputs
Tool data
If this policy ever changes:
90 days advance notice
Explicit opt-in consent required
4.7 Third-Party LLM Providers
If workflows use APIs such as:
OpenAI
Anthropic
Google
Their terms and privacy policies apply.
4.8 EU AI Act
Phinite provides tools to support EU AI Act compliance, including:
Audit logging
Documentation
Human oversight tools
Users remain responsible for AI risk classification.
4.9 Responsible AI
Users must:
Implement safeguards
Include human-in-the-loop review
Avoid harmful or discriminatory systems
Report safety issues
Report concerns to:
5. Customer Data and Intellectual Property
5.1 Your Ownership
You retain full ownership of Customer Data.
5.2 License to Customer Data
You grant Phinite a limited license to:
Store data
Process workflows
Operate the platform
Produce aggregated anonymized analytics
5.3 Your Representations
You confirm that:
You have rights to submit the data
Data does not infringe third-party rights
Proper consent exists for personal data
Data complies with applicable law
5.4 Phinite Intellectual Property
Phinite owns:
Platform software
Algorithms
Infrastructure
AI models
Developer Studio
Documentation
Brand assets
Nothing transfers Phinite IP to you.
5.5 Feedback
Feedback provided to Phinite may be used freely without compensation.
6. Subscriptions, Fees, and Payment
6.1 Subscription Plans
Pricing available at:
Phinite may change pricing with 30 days notice.
6.2 Billing and Payment
Subscriptions billed monthly or annually
Payments processed by Stripe
Fees non-refundable unless required by law
Failed payments may result in suspension
6.3 Taxes
Customers are responsible for applicable taxes such as:
VAT
GST
Sales tax
6.4 Upgrades and Downgrades
Upgrades take effect immediately
Downgrades take effect next billing cycle
6.5 Enterprise Agreements
Enterprise customers may sign Master Service Agreements (MSA).
If conflicts occur, the enterprise agreement prevails.
6.6 Beta Access
Beta participants may use the platform free during the beta period.
Paid plans may be introduced with 30 days notice.
7. Acceptable Use Policy
7.1 Prohibited Uses (General)
Users may not:
Violate laws
Infringe intellectual property
Upload harmful or illegal content
Impersonate others
Attempt unauthorized access
Introduce malware
Disrupt platform operations
Send spam
7.2 AI-Specific Prohibited Uses
Prohibited activities include:
Deceptive AI systems
Unauthorized system access
Illegal data scraping
Disinformation generation
Processing sensitive personal data without legal basis
Building prohibited AI under the EU AI Act
Surveillance without consent
7.3 Sensitive Use Cases Requiring Approval
Prior approval required for:
Healthcare applications (HIPAA)
Financial regulatory systems
Automated decisions affecting individuals
Applications involving minors
Approval requests:
7.4 Enforcement
Phinite may investigate violations and:
Suspend accounts
Terminate services
Report illegal activity
8. Confidentiality
Each party must protect Confidential Information.
Confidentiality obligations last:
3 years after termination
Indefinitely for trade secrets
Exceptions include publicly known or legally required disclosures.
9. Privacy and Data Protection
Use of the Services is governed by the Privacy Policy.
Enterprise customers may request a Data Processing Agreement (DPA).

10. Third-Party Services
The platform may integrate with tools such as:

Phinite is not responsible for third-party services.
11. Term and Termination
11.1 Term
Terms apply when you first access the Services.
11.2 Termination by You
You may terminate by cancelling your subscription.
Termination occurs at the end of the billing cycle.
11.3 Termination by Phinite
Phinite may terminate:
Immediately for breach or fraud
With 30 days notice for free plans
With 90 days notice for service discontinuation
11.4 Effect of Termination
After termination:
License revoked
Data export window available
Export window:
30 days (free)
90 days (paid)
Afterward data is deleted per the Privacy Policy.
14. Indemnification
You agree to indemnify Phinite against claims arising from:
Violating these Terms
Your Customer Data
Agent workflow actions
Violations of law
Third-party service usage
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms are governed by Delaware law (USA).
15.2 Informal Resolution
Parties must attempt informal resolution for 30 days before legal proceedings.

Disputes resolved via AAA Commercial Arbitration in Delaware.
Both parties waive:
Jury trials
Class action participation
15.4 Exceptions
Courts may issue emergency injunctive relief.
15.5 EU / UK Users
EU users retain rights under applicable consumer law.
EU users may access the EU Online Dispute Resolution platform.
16. General Provisions
Entire Agreement
These Terms plus the Privacy Policy constitute the entire agreement.
Amendments
Terms may be updated with 30 days notice.
Assignment
Users may not assign these Terms without consent.
Force Majeure
Neither party is liable for delays caused by events beyond their control.
Relationship
Parties are independent contractors.
Export Controls
Services must comply with US export laws.
